Brand Centre Terms of Use

    The Royal Mail Brand Centre is hosted and operated by Adgistics Ltd (“Adgistics”) on behalf of Royal Mail Group Limited.

    Royal Mail Brand Centre provides an online resource to help you understand the Royal Mail brand and provide you with all the tools you need to create consistent communications and materials that build our brand. We ask that you follow a few rules when using the Site, so please read these Terms of Use especially the disclaimers and limitations of our liability, since use of this Site constitutes your agreement with these conditions of use.

    You will be issued a password and ID to the Royal Mail Brand Centre Site within the next 30 days. You must treat your password and ID as confidential and not disclose these details to any third party. We reserve the right to disable your password and ID at any time if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms of Use.

    Licensed Property

    Permitted Use:

    You are permitted to use the Property to create material for use by Royal Mail Group Limited (RMG) and Group companies and for no other purpose.

    Permitted Use is as specified in the meta data attached to each part of the Property and specifically excludes (without limitation) any distribution or making available of Property to third parties, any modification of Property, any use in digital media unless with copy protection and/or with the ability to copy, save or download the Property disabled.



    Licensed Term:

    For the duration of the project to which the Permitted Use relates.

    Special Conditions:

    Full acknowledgement of source and RMG as intellectual property rights owner to be included.

    Use to be in accordance with Brand Guidelines provided by RMG.

    General Conditions:

    1. Royal Mail Group Limited (“RMG”, “we”, “us” etc.) hereby grants you a non-exclusive licence, non-transferable licence to use the Property solely in connection with the Permitted Use in the Territory for the Licensed Period.

    2. You acknowledge and agree that (i) you will not use the Property in any manner except as permitted by the provisions of this agreement; (ii) you will comply with all applicable laws, regulations and codes of practice relating to use of the Property; (iii) you will only use the Property in the form stipulated by us and observe any reasonable directions given by us as to colours and size or representations of the Property; (iv) you will not use the Property in a manner which harms or damages the rights, image or reputation of RMG (or any group company of RMG); you will not use or seek to register any logo which conflicts with the Property or any other mark owned or used by us and (v) all rights in and to the Property (including any goodwill arising from your use of the Property) shall belong to RMG.

    3. You will make no representations, statements or claims in any form implying that any of your goods or services are approved or recommended by RMG.

    4. We give no warranties or indemnities in respect of the Property or the availability of or operation of this site and none shall be implied.

    5. If you become aware of any infringement or threatened infringements of our intellectual property rights in the Property, you will promptly notify us.

    6. You shall indemnify and hold harmless RMG and Adgistics against all claims, liabilities, costs, expenses, damages and losses (including any and all interest, penalties and legal and other professional costs and expenses) suffered or incurred by RMG arising out of or in connection with your use of the Property.

    7. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Site, the Resources or any other material and information on the Site, whether express or implied, neither Adgistics or RMG, or its affiliates, nor anyone who helped develop, create, produce or deliver the Resources and the other material and information in this Brand Centre Site (including the Site) are liable for any damages related to your use of or inability to use the Site. This includes, but is not limited to:

      a. Damages intended to compensate you directly for any loss or injury;

      b. Damages reasonably expected to result from any loss or injury (consequential damages) including but not limited to any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it, including, without limitation any liability for: (i) loss of income or revenue; (ii) loss of business; (iii) loss of profits or contracts; (iv) loss of anticipated savings; (v) loss of data; (vi) loss of goodwill; (vii) wasted management or office time; and (viii) for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.;

      c. Other miscellaneous damages and expenses resulting directly from a loss or injury (incidental damages); and/or

      d. Punitive or other damages 

      provided that nothing in this agreement excludes our liability for death or personal injury or death caused by our negligence or for fraud.

      We use our best efforts to provide accurate information, but do not guarantee it, and make no representations regarding the use or results of use of the Property or any other material or information in this Brand Centre Site in terms of their accuracy, reliability or any other matter. We do not guarantee that this Brand Centre Site or every feature of this Brand Centre Site will remain available to you.

    8. Any information in whatever form that you acquire about RMG or any member of its group which is not already in the public domain shall be treated as confidential and shall not be disclosed to any third party unless required for legal reasons.

    9. We may terminate the licence granted under this agreement with immediate effect at any time and for any reason.

    10. This agreement shall be governed and construed in accordance with English law and both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
